Senior M&A Paralegal - Hybrid - San Francisco, CA
M&A Paralegals support the firm's attorneys who regularly represent clients in mergers and acquisitions and other complex corporate transactions, including domestic and cross-border mergers and acquisitions, strategic investments, joint ventures, and spin-offs. Specific duties include, but are not limited to, the following:
Position responsibilities:
General:
- Research, collect, index and distribute historical and other transaction related documentation relating to target or acquiring entity as well as precedent transaction materials
- Obtain transaction specific information from client team and work closely with client team in gathering information as required throughout the transaction process
- Conduct ongoing research relating to current M&A trends and practices
- Manage due diligence and conduct due diligence reviews as appropriate
- Manage data rooms
- Facilitate open lines of communications with opposing counsel and other outside advisors
- Draft Key Document Checklists and transaction related documents
- Form merger subsidiaries
- Prepare/Review capitalization and conversion tables
- Manage signature collection process
- Coordinate distribution of executed documents
- Assist in preparation of Registration Statements
- Draft and file transaction related SEC documents
- Comply with notice and other communication requirements of any stock exchange
- Prepare transaction books
- Attend to any post closing tasks
- Work with client team on post closing and integration matters
- Assist with conflicts check and conflicts waiver process
- Prepare transaction working group lists
- Maintain close working relationship with client team throughout transaction process
- Assist with organization and maintenance of M&A library materials
- Assist with organization and circulation of M&A newsletter
- Maintain and circulate M&A Activity Report
- Attend to or assist with any other M&A transaction or group related task
- Other tasks as assigned
Skills & experience:
Required:
- Available to work overtime, as required
- After orientation at firm, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications
- 5+ years of substantive work experience as an M&A paralegal.
- Bachelor's Degree
